1. Parties and scope
These terms govern the relationship between Tokár Ádám, a sole trader registered in Hungary (5700 Gyula, Szőlős utca 4/1., Hungary, tax number: 92003747-1-24, registration number: 62232744), as service provider ("I", "the Provider"), and the business that subscribes to IrodAI ("the Subscriber"). The service is meant for businesses, mainly accounting firms. A term agreed in an individual contract takes precedence over these terms.
2. The service
IrodAI is a subscription service that, depending on the plan, can include: downloading invoice data from NAV Online Számla, collecting documents, AI comparison of invoice images with the NAV data, chasing missing documents by email on the Subscriber's behalf, a review and approval screen, export to ledger software, archiving from Számlázz.hu and Billingo, a client manager, a website chat and an AI phone receptionist.
Today the only tax authority data source the service connects to is Hungary's NAV Online Számla. Other countries (for example Poland's KSeF, Romania's e-Factura and Croatia's e-invoicing) are on the roadmap with no committed date, and are not part of the service unless an individual contract says so.
The service does not keep the books, does not file returns, does not sign anything, and is not a bookkeeping or tax advisory service. Differences and suggestions flagged by the AI are for information: every item moves on only with the Subscriber's approval, and the professional and legal responsibility stays with the Subscriber. The service is not the statutory archive of the Subscriber or its clients: keeping the original documents is their task.
3. Ordering and setup
There is no online checkout. The contract is formed when the Subscriber accepts my written offer, which sets out the plan, the fee and the go-live date. The contract language is English unless the parties agree otherwise. Setup consists of an assessment, configuration, going live with the first client company, then the other client companies. The Subscriber provides the access needed for setup (in particular, for each client company, a read-only NAV technical user) and is responsible for the accuracy of its data.
4. Fees and invoicing
- Prices are in EUR. I invoice as a Hungarian sole trader under the Hungarian small business VAT exemption, so no VAT is added to my invoice. Business customers in other EU countries account for any VAT due in their own country under the reverse charge.
- With monthly billing the fee consists of a one-time setup fee and a monthly fee: Start €129 a month and €390 setup, Pro €349 and €990, Large firm €799 and €1,990. The Network plan is priced in an individual offer, at least €1,290 a month. The monthly client company and document limits of each plan and the fees above the limits are on the Pricing page, as in force on the day the contract is signed.
- With annual billing the fee is 10 monthly fees for 12 months, with no setup fee (Start €1,290, Pro €3,490, Large firm €7,990).
- Founding partner program: the first 3 Subscribers pay 50% of the plan's monthly fee for as long as they subscribe without a break, monthly from the first month. In the individual contract I commit to a go-live date (at most 6 weeks from the contract to the first live client company); if it is missed for a reason attributable to me, I refund every fee the Subscriber has paid until then. The Subscriber's commitments are set out in the individual contract.
- Invoices are electronic and issued in advance: monthly with monthly billing, yearly with annual billing. Payment is due 8 days after the invoice date, by bank transfer in EUR.
- Late payment: I may charge statutory late payment interest under Hungarian law. If payment is more than 15 days late, after a written reminder, the service may be suspended until the debt is settled; the data is kept during the suspension.
- Price changes: I may change the fee with at least 30 days written notice. The Subscriber may terminate free of charge before the change takes effect. The fee of an annual subscription does not change during the year already started.
5. Data protection
For the data of the Subscriber's client companies, I am the Subscriber's sub-processor. Before the service starts, the parties sign a written data processing agreement that meets GDPR Article 28 and lists the sub-processors. I do not train models on the data. When the contract ends, I hand the data over in a standard format, then delete it and confirm the deletion.
6. Availability and support
I aim for 99.5% monthly availability. I announce planned maintenance at least 2 working days ahead and schedule it outside working hours where possible. Faults can be reported to hello@irodaai.hu; I reply within 1 working day on working days (Hungarian time). I am not liable for outages caused by external systems (NAV Online Számla, invoicing software, ledger software, cloud providers), but I help to restore the service.
7. Liability
My liability for damage caused by a breach of contract is limited to the fees the Subscriber paid in the 12 months before the damage. This limit does not apply to a breach of contract caused intentionally or by gross negligence (section 6:152 of the Hungarian Civil Code). I am not liable for damage arising from items the Subscriber approved, from accounting and tax decisions, or from incorrect or incomplete input data.
8. Term and termination
A monthly subscription runs for an indefinite period, and either party may terminate it in writing with 30 days notice. An annual subscription runs for 12 months and may be terminated for the end of the period. Either party may terminate with immediate effect if the other party seriously breaches the contract and does not remedy it within 15 days of a written notice. When the contract ends, I hand the data over in a standard format.
9. Complaints and governing law
Complaints can be sent by email (hello@irodaai.hu) or by post (5700 Gyula, Szőlős utca 4/1., Hungary); I reply in writing within 30 days. These terms and the contract are governed by Hungarian law, in particular Act V of 2013 on the Civil Code. The parties first try to settle disputes by negotiation; failing that, the competent Hungarian court has jurisdiction, unless a mandatory rule provides otherwise.
Effective from 14 October 2026.
